Approved affiliates may earn commissions for referring qualifying customers to BuilderStudio through approved affiliate links, referral codes, tracking links, or other tracking methods provided or approved by WunderCorp, Inc. The standard affiliate commission is 20% of Net Revenue from each Qualified Referral, subject to the requirements, exclusions, and limitations described in these Terms. ⸻ 2. Definitions For purposes of these Terms: “WunderCorp,” “Company,” “we,” “us,” or “our” means WunderCorp, Inc. “BuilderStudio” means the BuilderStudio product, service, platform, software, website, subscription, tools, applications, and related offerings operated or provided by WunderCorp, Inc. “Program” means the BuilderStudio Affiliate Program. “Affiliate,” “you,” or “your” means the individual, business, agency, creator, publisher, partner, or other party approved by WunderCorp to participate in the Program. “Customer” means a person or business that purchases BuilderStudio products or services. “Qualified Referral” means a valid customer purchase that meets all eligibility requirements under these Terms. “Affiliate Link” means the unique link, referral URL, coupon code, tracking code, or other approved tracking method provided or approved by WunderCorp. “Commission” means the amount payable to an Affiliate for a Qualified Referral. “Net Revenue” means the amount actually received by WunderCorp from a Customer, excluding taxes, refunds, chargebacks, discounts, credits, processing fees, payment gateway fees, implementation costs, third-party costs, pass-through expenses, and any other amounts excluded by WunderCorp. ⸻ 3. Acceptance into the Program Participation in the Program is subject to review and approval by WunderCorp. WunderCorp may approve or reject any application at its sole discretion. Approval into the Program does not create any right to continued participation. To participate, Affiliates must: 1. Provide accurate and complete application information. 2. Be at least 18 years old or the age of majority in their jurisdiction. 3. Have legal authority to enter into these Terms. 4. Maintain accurate payment, tax, and contact information. 5. Comply with all applicable laws, regulations, advertising rules, platform policies, and these Terms. 6. Promote BuilderStudio in a lawful, honest, ethical, and professional manner. WunderCorp may request additional information before approving or continuing an Affiliate’s participation in the Program. ⸻ 4. Commission Structure Affiliates are eligible to earn a commission equal to 20% of Net Revenue from each Qualified Referral. Unless otherwise agreed in writing by WunderCorp, the commission applies only to eligible revenue actually received by WunderCorp from a Qualified Referral. For one-time purchases, the commission applies to the eligible one-time purchase amount. For subscriptions, renewals, recurring fees, upgrades, or ongoing customer payments, commission eligibility will be determined by the Program terms displayed in the Affiliate dashboard or by separate written agreement. Unless expressly stated otherwise in writing, recurring or lifetime commissions are not guaranteed. WunderCorp may modify commission rates, commission eligibility, payment timing, payout thresholds, and Program rules at any time in accordance with these Terms. ⸻ 5. Qualified Referrals A referral qualifies for commission only if all of the following conditions are met: 1. The Customer is referred through the Affiliate’s valid Affiliate Link or approved tracking method. 2. The Customer is not an existing BuilderStudio customer unless WunderCorp approves the referral in writing. 3. The Customer completes a valid purchase of a BuilderStudio product or service. 4. WunderCorp receives full payment from the Customer. 5. The purchase is not canceled, refunded, reversed, disputed, or charged back. 6. The referral is properly tracked and attributed to the Affiliate in WunderCorp’s records or affiliate tracking system. 7. The Affiliate complied with these Terms. 8. The referral was not generated through fraud, deception, self-referral, spam, unauthorized incentives, or prohibited activity. WunderCorp has the sole right to determine whether a referral is a Qualified Referral. ⸻ 6. Non-Qualifying Referrals Commissions will not be paid for: 1. Self-referrals. 2. Purchases made by the Affiliate, the Affiliate’s business, employees, contractors, family members, or related entities. 3. Existing BuilderStudio customers, unless approved in writing by WunderCorp. 4. Fraudulent, suspicious, or artificial transactions. 5. Test transactions. 6. Free trials or free accounts. 7. Refunded, canceled, reversed, or charged-back transactions. 8. Transactions involving unauthorized discounts, coupons, rebates, or incentives. 9. Transactions generated through spam, bots, fake traffic, fake accounts, or automated methods. 10. Transactions that violate these Terms or any applicable law. 11. Transactions not properly tracked through an approved Affiliate Link or tracking method. 12. Transactions where the Customer was already in active sales discussions with WunderCorp before the referral. WunderCorp may withhold, reverse, or cancel commissions for any non-qualifying referral. ⸻ 7. Tracking and Attribution WunderCorp may use affiliate tracking software, referral links, cookies, coupon codes, CRM records, manual attribution, or other tracking methods to determine referral eligibility. Affiliates are responsible for using the correct Affiliate Links and approved tracking methods. WunderCorp is not responsible for commissions that are not tracked due to: 1. Incorrect links. 2. Broken links. 3. Deleted cookies. 4. Blocked cookies. 5. Browser privacy settings. 6. Ad blockers. 7. Customer error. 8. Affiliate error. 9. Technical issues outside WunderCorp’s reasonable control. 10. Use of unapproved links or tracking methods. If more than one Affiliate appears to have referred the same Customer, WunderCorp may determine attribution at its sole discretion. WunderCorp’s tracking records will be the primary basis for determining commission eligibility. ⸻ 8. Cookie Duration Unless otherwise stated in the Affiliate dashboard or a separate written agreement, the Program’s standard cookie duration is 30 days. This means that a Customer must complete a qualifying purchase within 30 days after clicking the Affiliate’s valid Affiliate Link for the referral to be eligible for commission. If a Customer clears cookies, uses a different device, blocks tracking, or does not complete the purchase within the applicable cookie period, the referral may not qualify for commission. WunderCorp may change the cookie duration at any time. ⸻ 9. Commission Payments Commissions are calculated after the end of each applicable payment period. Unless otherwise stated by WunderCorp: 1. Commissions are reviewed monthly. 2. Commissions are paid only after the applicable refund and chargeback review period has passed. 3. WunderCorp may hold commissions for up to 60 days after the related customer payment is received. 4. A minimum payout threshold of $100 USD applies. 5. If the Affiliate has not reached the payout threshold, unpaid commissions may roll over to the next payment period. 6. Affiliates must provide accurate payment details before receiving payment. 7. Affiliates must provide any required tax forms or documentation before receiving payment. WunderCorp may pay commissions through bank transfer, PayPal, Stripe, Wise, or any other payment method selected by WunderCorp. Any bank fees, transfer fees, currency conversion fees, payment processing fees, or similar charges may be deducted from the Affiliate’s payment. ⸻ 10. Refunds, Cancellations, and Chargebacks If a Customer cancels, receives a refund, disputes a payment, or initiates a chargeback, the related commission will not be payable. If the commission has already been paid, WunderCorp may: 1. Deduct the amount from future commissions. 2. Offset the amount against amounts owed to the Affiliate. 3. Request repayment from the Affiliate. 4. Suspend future payments until the matter is resolved. WunderCorp may withhold commissions where there is unusually high refund activity, suspicious transaction activity, or evidence of non-compliant promotion. ⸻ 11. Affiliate Payment Information Affiliates are responsible for keeping payment information current and accurate. WunderCorp is not responsible for failed, delayed, rejected, misdirected, or lost payments caused by incorrect payment information provided by the Affiliate. If payment information is incomplete or invalid, WunderCorp may withhold payment until the Affiliate provides correct information. If an Affiliate fails to provide valid payment information for an extended period, WunderCorp may cancel unpaid commissions where permitted by law. ⸻ 12. Taxes Affiliates are solely responsible for all taxes, duties, reporting obligations, filings, and government charges arising from commissions received through the Program. WunderCorp may require Affiliates to provide tax forms, invoices, identification, VAT information, W-9 forms, W-8BEN forms, or other documentation before issuing payment. WunderCorp may withhold amounts from commission payments where required by law. ⸻ 13. Affiliate Responsibilities Affiliates must promote BuilderStudio honestly, clearly, and professionally. Affiliates must: 1. Use accurate information when describing BuilderStudio. 2. Avoid false, misleading, exaggerated, or deceptive claims. 3. Clearly disclose their affiliate relationship where required by law. 4. Comply with all advertising, consumer protection, privacy, email marketing, and data protection laws. 5. Comply with all applicable platform rules, including rules for social media, search engines, email providers, ad networks, and online communities. 6. Avoid harming the reputation, goodwill, or brand of BuilderStudio or WunderCorp. 7. Use only approved branding and marketing materials where provided. 8. Promptly remove or modify promotional content if requested by WunderCorp. 9. Ensure all promotional content is lawful and appropriate. Affiliates are solely responsible for their own websites, landing pages, emails, ads, videos, social posts, messages, campaigns, and other promotional materials. ⸻ 14. Affiliate Disclosure Requirements Affiliates must clearly disclose that they may receive compensation when someone purchases BuilderStudio through their Affiliate Link. The disclosure must be clear, visible, understandable, and placed near the affiliate link or promotional message. Examples of acceptable disclosure language include: “I may earn a commission if you purchase BuilderStudio through my link, at no additional cost to you.” “As a BuilderStudio affiliate, I may receive compensation for qualifying purchases.” Affiliates are responsible for ensuring their disclosures comply with all applicable laws, regulations, and platform policies. ⸻ 15. Prohibited Activities Affiliates may not engage in any activity that is unlawful, misleading, abusive, unethical, or harmful to WunderCorp, BuilderStudio, or Customers. Prohibited activities include: 1. Making false or misleading statements about BuilderStudio. 2. Promising guaranteed results, earnings, rankings, revenue, approvals, success, or outcomes unless expressly approved by WunderCorp in writing. 3. Using spam, unsolicited email, unsolicited direct messages, robocalls, mass messaging, or similar tactics. 4. Creating fake reviews, fake testimonials, fake case studies, or fake endorsements. 5. Using fraudulent traffic, bots, fake accounts, fake leads, fake purchases, or automated systems. 6. Self-referring or purchasing through your own Affiliate Link. 7. Offering unauthorized discounts, coupons, rebates, cashbacks, bonuses, or incentives. 8. Using cookie stuffing, forced clicks, hidden links, misleading redirects, adware, spyware, malware, browser extensions, or deceptive tracking methods. 9. Registering domains, social media handles, usernames, business names, or pages that include “BuilderStudio,” “WunderCorp,” or confusingly similar names. 10. Bidding on BuilderStudio or WunderCorp brand terms in paid search without written permission. 11. Creating ads that appear to be official BuilderStudio or WunderCorp ads without written approval. 12. Copying BuilderStudio websites, landing pages, graphics, ads, or marketing materials without permission. 13. Promoting BuilderStudio on websites or platforms containing illegal, hateful, discriminatory, adult, violent, defamatory, misleading, or otherwise objectionable content. 14. Interfering with WunderCorp’s sales process or customer relationships. 15. Representing yourself as an employee, agent, legal representative, or official spokesperson of WunderCorp. 16. Making unauthorized promises about pricing, discounts, refunds, service features, implementation, support, or results. 17. Violating any applicable law, regulation, platform policy, or these Terms. WunderCorp may suspend or terminate any Affiliate who engages in prohibited activity and may cancel unpaid commissions. ⸻ 16. Paid Advertising Rules Affiliates may run paid advertisements to promote BuilderStudio only if they comply with these Terms and any advertising guidelines provided by WunderCorp. Affiliates may not bid on, target, or use the following in paid search advertising without prior written approval: 1. “BuilderStudio” 2. “WunderCorp” 3. BuilderStudio brand terms. 4. WunderCorp brand terms. 5. Misspellings of BuilderStudio or WunderCorp. 6. BuilderStudio domain names. 7. WunderCorp domain names. 8. Confusingly similar terms. 9. Competitor comparison terms using BuilderStudio or WunderCorp names. Affiliates may not direct-link paid ads to BuilderStudio using an Affiliate Link unless WunderCorp gives written approval. Affiliates may not create ads that imply they are official BuilderStudio or WunderCorp ads unless approved in writing. WunderCorp may require an Affiliate to pause, edit, or remove any ad, keyword, landing page, copy, creative, or campaign. ⸻ 17. Email, SMS, and Direct Messaging Affiliates who promote BuilderStudio through email, SMS, direct messages, newsletters, or similar channels must comply with all applicable consent, privacy, and anti-spam laws. Affiliates may not send unsolicited commercial messages. All promotional messages must include: 1. Accurate sender information. 2. Required affiliate disclosures. 3. Required unsubscribe or opt-out mechanisms where applicable. 4. Truthful and non-misleading content. WunderCorp may request evidence that an Affiliate’s marketing list was collected lawfully and with proper consent. ⸻ 18. Use of BuilderStudio and WunderCorp Intellectual Property WunderCorp grants approved Affiliates a limited, revocable, non-exclusive, non-transferable license to use approved BuilderStudio names, logos, graphics, descriptions, screenshots, trademarks, and marketing materials solely for the purpose of promoting BuilderStudio under these Terms. Affiliates may not: 1. Modify BuilderStudio or WunderCorp logos without permission. 2. Use BuilderStudio or WunderCorp branding in a misleading way. 3. Use branding in a way that suggests ownership, employment, agency, or official representation. 4. Register trademarks, domains, company names, product names, social media handles, or usernames containing BuilderStudio, WunderCorp, or confusingly similar terms. 5. Use BuilderStudio or WunderCorp intellectual property after termination from the Program. 6. Copy BuilderStudio websites, designs, landing pages, product interfaces, or marketing materials without permission. WunderCorp may revoke permission to use its intellectual property at any time. ⸻ 19. Content Created by Affiliates Affiliates retain ownership of their original promotional content, subject to WunderCorp’s ownership of BuilderStudio, WunderCorp, and all related intellectual property. By creating public content that promotes BuilderStudio, the Affiliate grants WunderCorp a non-exclusive, worldwide, royalty-free right to reference, share, repost, display, or link to that content for promotional or business purposes. This right does not transfer ownership of the Affiliate’s original content to WunderCorp. ⸻ 20. Customer Relationship All Customers referred through the Program are customers of WunderCorp. WunderCorp is responsible for customer accounts, billing, refunds, support, onboarding, product delivery, and customer communications. Affiliates may not: 1. Accept payment on behalf of WunderCorp. 2. Modify BuilderStudio pricing. 3. Offer unauthorized discounts. 4. Make service commitments on behalf of WunderCorp. 5. Promise refunds, results, timelines, features, or support terms. 6. Bind WunderCorp to any contract, obligation, or representation. 7. Interfere with WunderCorp’s relationship with Customers. ⸻ 21. Independent Contractor Relationship The Affiliate is an independent contractor. Nothing in these Terms creates an employment relationship, partnership, joint venture, franchise, agency, or legal representative relationship between the Affiliate and WunderCorp. Affiliates are solely responsible for their own expenses, taxes, tools, employees, contractors, marketing costs, business operations, and compliance obligations. ⸻ 22. Confidentiality Affiliates may receive confidential information from WunderCorp, including private pricing information, dashboards, commission data, customer information, product plans, business strategies, technical information, promotional materials, and non-public communications. Affiliates must not disclose, sell, copy, misuse, or share confidential information without WunderCorp’s written permission. This confidentiality obligation continues after termination from the Program. ⸻ 23. Privacy and Data Protection Affiliates must comply with all applicable privacy and data protection laws. Affiliates may not collect, use, process, store, sell, or share personal data in connection with BuilderStudio promotions unless they have a lawful basis to do so. If an Affiliate collects leads, email addresses, phone numbers, or other personal information independently, the Affiliate is solely responsible for providing required notices, obtaining required consents, honoring opt-out requests, and complying with applicable privacy laws. Affiliates may not misuse Customer data or represent that they have access to BuilderStudio customer data unless expressly authorized by WunderCorp. ⸻ 24. Compliance with Laws Affiliates must comply with all laws, regulations, rules, and guidelines applicable to their marketing activities. This includes laws relating to: 1. Advertising. 2. Consumer protection. 3. Affiliate disclosures. 4. Email marketing. 5. Privacy and data protection. 6. Telemarketing. 7. Unfair competition. 8. Intellectual property. 9. Taxes. 10. Platform-specific rules and advertising policies. Affiliates are solely responsible for understanding and following the laws that apply to their promotional activities. ⸻ 25. No Guarantee of Earnings WunderCorp does not guarantee that any Affiliate will earn commissions, generate traffic, produce conversions, or achieve any particular result. Affiliate earnings depend on many factors, including audience, content quality, market conditions, promotional methods, Customer behavior, and compliance with these Terms. ⸻ 26. Program Changes WunderCorp may modify, suspend, or terminate the Program at any time. WunderCorp may change: 1. Commission rates. 2. Cookie duration. 3. Payout thresholds. 4. Payment methods. 5. Payment schedules. 6. Qualified Referral requirements. 7. Promotional rules. 8. Affiliate eligibility. 9. Tracking methods. 10. These Terms. Changes will be effective when posted, published, emailed, displayed in the Affiliate dashboard, or otherwise communicated by WunderCorp. Continued participation in the Program after changes take effect means the Affiliate accepts the updated terms. ⸻ 27. Suspension and Termination Either the Affiliate or WunderCorp may terminate participation in the Program at any time. WunderCorp may suspend or terminate an Affiliate immediately if the Affiliate: 1. Violates these Terms. 2. Engages in fraud or suspected fraud. 3. Uses misleading advertising. 4. Sends spam or unsolicited messages. 5. Misuses BuilderStudio or WunderCorp branding. 6. Generates excessive refunds, disputes, or chargebacks. 7. Causes customer complaints. 8. Harms the reputation of BuilderStudio or WunderCorp. 9. Fails to provide required tax or payment information. 10. Violates applicable law or platform policies. 11. Engages in any conduct WunderCorp considers harmful, abusive, or inappropriate. Upon termination: 1. The Affiliate must stop using Affiliate Links. 2. The Affiliate must stop using BuilderStudio and WunderCorp branding. 3. The Affiliate must remove or update promotional content upon request. 4. The Affiliate will no longer be eligible to earn new commissions. 5. WunderCorp may withhold, cancel, or pay unpaid commissions depending on the reason for termination. 6. Commissions related to fraud, refunds, chargebacks, or violations will not be paid. ⸻ 28. Withholding and Reversal of Commissions WunderCorp may withhold, delay, reduce, reverse, or cancel commissions if: 1. The referral does not qualify. 2. The Customer requests a refund. 3. The Customer cancels. 4. The Customer disputes payment. 5. A chargeback occurs. 6. The Affiliate violates these Terms. 7. The transaction appears fraudulent or suspicious. 8. The Affiliate uses prohibited promotional methods. 9. The Affiliate fails to provide required payment or tax documentation. 10. WunderCorp determines that payment would violate law, policy, or these Terms. WunderCorp may investigate suspicious activity before issuing payment. ⸻ 29. Limitation of Liability To the maximum extent permitted by law, WunderCorp will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages arising from or related to the Program. This includes damages for lost profits, lost revenue, lost business opportunities, marketing costs, data loss, reputational harm, or loss of goodwill. WunderCorp’s total liability under these Terms will not exceed the total commissions paid to the Affiliate during the three months immediately preceding the event giving rise to the claim. ⸻ 30. Indemnification The Affiliate agrees to indemnify, defend, and hold harmless WunderCorp, its officers, directors, employees, contractors, owners, affiliates, successors, and assigns from and against any claims, losses, damages, liabilities, penalties, costs, and expenses, including reasonable attorneys’ fees, arising from or related to: 1. The Affiliate’s promotional activities. 2. The Affiliate’s breach of these Terms. 3. The Affiliate’s violation of any law or regulation. 4. The Affiliate’s violation of platform policies. 5. The Affiliate’s misuse of BuilderStudio or WunderCorp intellectual property. 6. False, misleading, or unauthorized claims made by the Affiliate. 7. Spam, privacy violations, or unlawful marketing. 8. The Affiliate’s website, content, ads, emails, social media posts, messages, or campaigns. ⸻ 31. Disclaimers The Program is provided on an “as is” and “as available” basis. WunderCorp makes no warranties that the Program will be uninterrupted, error-free, profitable, or available at all times. WunderCorp is not responsible for: 1. Tracking failures. 2. Technical issues. 3. Affiliate platform outages. 4. Payment processor delays. 5. Browser settings. 6. Cookie deletion. 7. Ad blockers. 8. Customer error. 9. Third-party software errors. 10. Data inaccuracies outside WunderCorp’s reasonable control. ⸻ 32. Assignment Affiliates may not assign, transfer, delegate, or sublicense their rights or obligations under these Terms without WunderCorp’s prior written consent. WunderCorp may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, change of control, or other business transaction. ⸻ 33. Severability If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect. No Waiver WunderCorp’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Governing Law and Dispute Resolution These Terms are governed by the laws of The United States and Virginia, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Program will be resolved in the courts located in Virginia, unless otherwise required by law. Affiliates agree to first attempt to resolve disputes informally by contacting WunderCorp before initiating formal legal proceedings. ⸻ 36. Entire Agreement These Terms, together with any Affiliate dashboard rules, written commission agreements, Program policies, or additional guidelines provided by WunderCorp, constitute the entire agreement between the Affiliate and WunderCorp regarding the Program. These Terms supersede all prior discussions, communications, proposals, or agreements relating to the Program. ⸻ 37. Updates to These Terms WunderCorp may update these Terms from time to time. The updated version will be effective when posted, emailed, displayed in the Affiliate dashboard, or otherwise made available to Affiliates.
